Dolan Media Company Prices Initial Public Offering at $14.50 Per Share
MINNEAPOLIS--Aug. 1, 2007--Dolan Media Company (NYSE:DM) today announced that it has priced its initial public offering of 13,456,522 shares of common stock at $14.50 per share. The company is selling 10,500,000 of these shares and selling stockholders are selling the remaining 2,956,522 shares. In addition, certain selling stockholders have granted the underwriters a 30-day option to purchase up to an additional 2,018,478 shares of the company's common stock at the initial public offering price.
The company's net proceeds from the offering are expected to be approximately $138.6 million and will be used to redeem all outstanding shares of the company's preferred stock, to repay $30 million of outstanding indebtedness under the company's credit facility, and for general corporate purposes, including acquisitions and working capital.
The company's common stock will begin trading on the New York Stock Exchange under the ticker symbol "DM" on August 2, 2007. The offering is expected to close on or about August 7, 2007, subject to customary closing conditions.
Goldman, Sachs & Co. and Merrill Lynch & Co. are acting as joint bookrunners and as representatives of the underwriters. Piper Jaffray & Co. and Craig-Hallum Capital Group LLC are acting as co-managers.
